Terms of Service
These terms set out the basis on which we provide financial and administrative support. They apply alongside the engagement documentation agreed with each client, which takes precedence if the two ever differ.
The services we provide
We provide practical support with financial and administrative tasks. Depending on what is agreed, that may include invoicing and financial management, payroll processing, record-keeping, expense management, company set-up support, general administration, and the organisation of financial data.
The scope of any engagement — what is included, what is not, and the timetable — is confirmed in writing before work begins.
What is not included
Our work is administrative and organisational in nature. Unless separately agreed in writing it does not include regulated financial advice, investment recommendations, tax planning, legal advice, audit, or any form of assurance opinion. Where a matter calls for one of those, we will say so and recommend that you engage someone qualified to give it.
Your responsibilities
For the work to be reliable, we depend on you:
- providing information and documents that are complete, accurate and supplied in reasonable time;
- telling us promptly when something changes that affects the work;
- reviewing what we prepare before it is filed, paid or otherwise relied upon;
- retaining responsibility for the decisions your business takes and for meeting its statutory obligations. Our support is designed to make those obligations easier to meet; it does not transfer them to us.
Fees and payment
Fees, the basis on which they are calculated and the billing cycle are agreed before work starts and are set out in the engagement documentation rather than on this page. Invoices are payable by the date shown on them. Where work is charged by time spent, anything likely to run materially beyond the original estimate is raised with you before it is incurred.
Confidentiality
Information about your affairs is kept confidential during the engagement and after it ends, other than where disclosure is required by law or where you have asked us to share it. We ask the same in respect of the working materials and methods we share with you.
Ownership of materials
You own the records and data you supply, and the finished outputs prepared for you once they have been paid for. The templates, spreadsheets, checklists and working methods used to produce them remain ours, and we continue to use them for other clients.
Liability
We carry out our work with reasonable care and skill. We are not responsible for loss arising from information that was incomplete, inaccurate or supplied late, from decisions taken without reference to us, or from matters outside the agreed scope. Nothing in these terms limits liability where the law does not allow it to be limited.
Ending the engagement
Either side may end an engagement by giving reasonable notice in writing. Work properly carried out up to that point remains payable. On request, and once outstanding invoices are settled, your records are returned and we provide what is needed for an orderly handover.
Changes to these terms
These terms may be updated from time to time, and the version published here is the current one. A change that affects an engagement already under way is discussed with the client rather than applied silently.
Governing law
These terms are governed by the law of the jurisdiction in which the firm is established, and any dispute falls to the courts of that jurisdiction. Where it is at all possible, we would expect to settle a disagreement by discussion first.
